One way to learn about deal structures is to look at SEC filings from top transactional law firms. For instance, if you're curious about how to do a cross-border IPO for a Chinese entity, here's the registration statement for Perfect World Co., Ltd., the developer of a Chinese version of Second Life, which is trying to raise $100 million through a NASDAQ IPO. (Hattip: Ogilvy Digital Watch) It looks like two attorneys in the Hong Kong office of Latham & Watkins are handling the legal work on the IPO.
